EncoX and the Service
Understand the basic terms of the service we provide — clear and transparent — so you can use EncoX with confidence.
Acceptance of the Agreement and Electronic Signature
Three things that materially affect this Agreement
Please read this section before using the app. Three things materially affect these terms: the free tier allows five successful conversions in total and Opus membership is unlimited (see ‘Free quota and conversion count’); payment is collected and managed by Apple, and refunds follow Apple’s procedures and the mandatory consumer protection rules of your jurisdiction (see ‘Fees, Billing, and Refunds’); we impose no arbitration clause and do not ask you to waive procedural positions such as class actions or injunctive relief (see ‘Governing law and dispute resolution’).
This End User License Agreement (EULA) and these Terms of Service (referred to below as “this Agreement”) apply to the legal relationship between you and us concerning the EncoX app and the related services. EncoX is the product name of this app; it and the other apps in our series belong to the same company, the party to this Agreement is the publisher of this app, and its registered identity and published information are as given by the business-entity signature at the bottom of the official website page that you access, together with the filing information that the applicable jurisdiction requires.
This Agreement applies to your downloading, installation and use of EncoX. On first launch we provide an entry point for reading the Privacy Policy and an “Agree and Continue” button; that button is for the Privacy Policy, it does not by itself mean that you have accepted this Agreement, and it does not require you to create an account or to submit any identity information. Whether this Agreement is formed, and how far it is enforceable, is judged by the requirements of applicable law concerning adequate notice, the formation of electronic contracts and consent. The mandatory rights the law gives you and the obligations we bear under law are unaffected.
If you are agreeing to this Agreement on behalf of an entity (such as a company or another organization), you represent and warrant that you have the legal authority to bind that entity to this Agreement. If you do not agree with any part of these terms, you must stop using the Service and delete the Software from your device.
Account, Data, and Privacy
Your Media and Materials
EncoX manages the media library, playback progress, the conversion queue and the conversion outputs on the device; your source files stay in the location you chose, which may include iCloud Drive. Your profile and certain Keychain records may be synced between your devices under the terms of the Apple Account and iCloud services you have enabled, including your display name, your avatar, your account identifier and your free conversion allowance. Device files, the system backup and what Apple syncs may differ in how they retain data and in what can be restored; please keep a separate copy of media that matters. Each party’s liability for data loss is determined by what it actually did, by this Agreement and by applicable law.
Damage to the device, a system abnormality, mistaken operation or force majeure can cause media records and conversion tasks to be lost, damaged or temporarily unavailable. We do not provide a standalone media backup or a manual recovery service beyond the scope of the features this app already describes; liability for such loss is determined by the actual cause, by the “Disclaimers and Limitation of Liability” section of this Agreement and by applicable law, and nothing that applicable law cannot exclude or limit is affected.
You must be at least thirteen years of age (or the higher minimum age required by the applicable law of your location and by Apple’s platform rules) to use the app and to create a profile on this device. The app does not verify age inside the app on its own initiative, and it does not require you to provide a date of birth or proof of age. Through account mechanisms such as Apple’s Family Sharing, a parent or legal guardian may create a sign-in for accounts their rules permit, or an approved educational institution may do so; those are Apple’s account mechanisms, and they do not change the minimum-age requirement set out in this clause. A parent or legal guardian who signs in for a minor, or creates a profile for one, should read this Agreement carefully together with that minor so that both of them understand it.
Where Your Data Is Stored
EncoX processes and stores your data on this device of yours: your purchase records, media library records, conversion queue and preferences are all kept in this app’s own storage area on this device (a space the system carves out separately for each app, which other apps cannot read), and the app’s normal operation does not receive this content. The kinds of record Apple syncs between your own devices are mainly these: several Keychain records — the free-allowance counter (a single integer), the opaque user identifier returned by Sign in with Apple, a marker recording that you have deliberately signed out (whose only value is “1”), and a marker recording that this Apple Account of yours has already made a one-time membership purchase — your profile (display name, avatar, profile creation time and an attribution key) — and the shared profile record holding the display name and the avatar (when you sign in with the same iCloud Account, all three of these apps — VocaX, SlateX and EncoX — can read it) — and the registration marker that this shared profile uses (one per app, whose value is a single character, that states only that “this app currently has an account”, and that contains none of your identity in plain form, no attribution key, no timestamp and no device information) — and two kinds of continuation record that exist only to finish what you yourself started, recording that your request to clear the display name and the avatar from your profile, or the shared profile record in the sign-out you started, has not yet fully landed in your own iCloud private database. The profile is synced only when this device has iCloud enabled, and it lands in your own iCloud private database: that is not a storage space shared between us and our users, and we neither receive its contents nor can we read them. None of these kinds contains media content.
Where Your Data Is Stored: your purchase records, your conversion queue and playback progress, media folder records, conversion outputs, the intermediate files for subtitles and segmenting, and the video thumbnails are all kept in this app’s own storage area on this device (a space the system carves out separately for each app, which other apps cannot read); your profile (display name, avatar, profile creation time and attribution key) is first created on this device and, when you enable iCloud, is kept in your own iCloud private database through Apple’s synchronization mechanism and synced between devices signed in with the same Apple Account; of this, the display name and the avatar are also kept in one profile record shared among your own three apps, and under the same iCloud Account all of them can read it, while the three apps’ own business data containers are not connected to one another. None of the above is held by us as a separate copy. Three things are outside this app’s control: the device’s system backup may already hold an older copy; the source files you selected were already outside the app and do not disappear when it is uninstalled; and the profile copy that Apple syncs is held by Apple’s mechanism, whose synchronization, encryption and retention rules are decided by Apple. Several further items in the Keychain are not deleted when the app is uninstalled and are synced by Apple through iCloud Keychain between your own devices: an integer holding the cumulative number of successful conversions on this device (used to enforce the free allowance), the opaque user identifier returned by Sign in with Apple, a marker recording that you have deliberately signed out (whose only value is “1”), and a marker recording that this Apple Account of yours has already made a one-time membership purchase (whose only value is “1”, which is kept in the Keychain under a fixed account name); there are also two kinds of continuation record that exist only to finish what you yourself started, recording that your request to clear the display name and the avatar from your profile, or the shared profile record in the sign-out you started, has not yet fully landed in your own iCloud private database, and these too are synced by Apple through iCloud Keychain; none of these items contains media content, and we neither receive them nor can we read them.
How the Conversion Queue Is Saved
To keep conversion and playback smooth, the app uses a memory-first recording strategy. Your conversion queue and playback progress are tracked in device memory in real time and written to local storage at specific points (for example, when a conversion task changes state or when you switch apps).
If the device loses power, if the system force-quits the app, if the app ends unexpectedly or if memory runs low, recent tasks and playback progress that have not yet been written to durable storage may be lost or rolled back. To the extent that applicable law allows, we do not undertake to restore records that were never saved; liability is determined by the actual cause and applicable law, and liability that may not be excluded or limited under law is unaffected.
Local Storage and Caches
In order to display the media library, we may generate thumbnails for your videos on the device and keep them there, together with the queue state and the playback progress the feature needs. Thumbnails and completed conversion outputs occupy device storage and are not the same thing as temporary cache that the system may clear at any time; how much space they actually take depends on the scale of your media and on the processing tasks.
A conversion task may be interrupted when temporary files are cleared; for the conditions governing the storage of your source files and the finished outputs, see the “Media Files and Records” section of the Privacy Policy; for the conditions governing the storage and deletion of the thumbnails and the temporary files of the conversion, see the “Video Thumbnails” section on the same page.
Deleting Your Profile and Your Data
You can delete your profile inside this app; the clean-up on this device is carried out according to the actual deletion process, while the copy in iCloud and the deletion of the shared profile may be delayed by the synchronization of the system. Where the display name and the avatar shared with your other apps are still in use there, or cannot be verified for the time being, they are not deleted immediately as a result; purchases held by Apple and the source files you keep elsewhere are handled under their respective rules.
Irreversibility: deleting your profile is a permanent operation. Once you confirm that it should be carried out, your profile (display name, avatar, profile creation time and attribution key) and your Sign in with Apple identifier are cleared, and this app offers no way to recover them. For the copy already synced into your own iCloud private database, this device submits a deletion request through Apple’s synchronization mechanism. For the storage-layer record pushed up by the system mirror, both when the request is made and when it arrives are decided by Apple, and we do not confirm on your behalf that it has completed. The record of your display name and avatar, which the three apps share, is treated by this device as cleared only according to the per-record deletion receipts returned by Apple (while a receipt has not arrived, it does not conclude on the spot that deletion is complete), and it is retried when you next use this app or from your other devices; unless you sign back in to this app before it completes and keep using that account — in which case that record is one you are actively using, and this app does not delete it. Whether anything can be restored from the device or from a system backup depends on Apple’s backup and synchronization mechanisms and is not controlled by EncoX. The rest of the data on the device is unaffected: the conversion queue, playback progress, media folder records and conversion outputs have never belonged to the profile, so deleting the profile does not touch them; the free-allowance count is deliberately retained — otherwise “deleting your profile and signing in again” would amount to claiming a fresh allowance. Where the profile is deleted and data is lost because of your own mistaken operation, we bear no duty to restore the data and no liability to compensate; this clause does not affect the liability listed in the “Exceptions to Statutory Liability” clause that may not be excluded or limited (including your consumer rights that cannot be waived under law).
When you delete your account inside the app, what is cleared are the records on this app’s side. The Sign in with Apple authorization you granted to this app is held by Apple; this app does not store its token and cannot revoke it on your behalf. To take that authorization back, open Settings on the device, tap your name, tap Sign in with Apple, select this app, then tap Delete, and Apple revokes this authorization under its own mechanisms. Neither of the two substitutes for the other: if you only delete your account in this app and do not take the authorization back, it remains on Apple’s side; if you only take the authorization back and do not delete your account in this app, the records on this app’s side do not disappear on their own.
Media Files and Use
The media source files you select stay where they are, and EncoX manages the media library records on the device you are using. You should confirm that you have the rights and authorizations applicable law requires for the material you import, convert and then pass on; liability arising from this is determined by what each party actually did with the material, by the cause of any infringement and by applicable law, and liability that may not be excluded or limited under law is not affected by this clause.
Shared and Rental Device Liability
You may use EncoX on a shared device or a public device. Before you return or transfer a device, first delete the profile inside the app and then clear the app’s data; deleting the profile inside the app clears the Sign in with Apple identifier held on this device and in iCloud Keychain, while the part of the profile already synced into your own iCloud private database has to be deleted by a push from this device through Apple’s synchronization mechanism (the record of your display name and avatar shared across the three apps is deleted along with it only when you delete the last of those accounts; see the clause “Deleting Your Profile and Your Data”), so after deleting the profile keep this device online so that the push can go out; when that push arrives is decided by Apple; the record shared by the three apps is treated as cleared only once Apple returns the per-record deletion receipts, and while a receipt has not arrived it is handled per the retry method in the “Irreversibility” clause of this section’s “Deleting Your Profile and Your Data” entry, which also carries that clause’s exception that signing back in stops it. Precisely because that cannot be confirmed, always use the system’s Erase All Content and Settings before you hand over or transfer this device, and hand it over only after that. Before returning or transferring the device, also open your Apple Account in the device’s system settings and review and revoke this app’s sign-in authorization there. The exposure risk of data you leave behind yourself on a shared device comes mainly from that device; any disclosure of data or access by a third party that results from it is handled under the three clauses of this Agreement, namely “Disclaimer”, “Exceptions to Statutory Liability” and “Limitation of Liability”, and this clause neither adds to nor relieves any liability.
Scope of License
EncoX grants you a non-transferable, non-exclusive license to use the Service on Apple-branded products that you own or control. The license is limited to using EncoX’s conversion, playback, and media library management features on your devices.
Unless applicable law permits it, you may not disassemble the Service, attempt to derive its source code, modify it, or create derivative works of it, and you may not use any automated tool (such as a script or a crawler) to interfere with the normal operation of the Service or with its intended purpose. The restrictions in this Agreement on reverse engineering, decompilation, derivation of source code, modification or derivative works do not apply to open-source components for which the corresponding rights have already been granted under an open-source license distributed with the Software; as regards those components, the terms of the applicable open-source license prevail over any restriction in this Agreement that conflicts with them. This exception does not expand your rights in EncoX’s own code, in its trademarks, or in other material that is not provided under an open-source license. Nor does the license granted by this Agreement over such works limit the rights you hold under an open-source license supplied with the Software as to the code or works that license actually covers; where the two conflict on coverage, that open-source license governs.
This app includes open-source components that we build ourselves, each distributed under its own licence; the licence family and the item-by-item mapping between a component and its source package are set out on the “Open Source Components and Corresponding Source” screen of this app (on the macOS version inside this app; on the iPhone and iPad versions inside the EncoX section of the system Settings) and at the official addresses listed on the open-source page of our official website. Anyone receiving a part of this software that is covered by the GPL may obtain the corresponding complete source code of the work that licence actually covers — including the scripts that control compiling and installing that work — and may copy, modify and redistribute those components in the ways that licence permits; the corresponding source and the object code point to the same place, and obtaining it carries no additional charge. Which distributed version corresponds to which source is decided by the version-mapping notes listed on the open-source page of our official website; if a historical version you use cannot be matched to its source there, write to support@encox.app and we will send you the instructions for obtaining that version’s source. That contact route does not replace your right to obtain the corresponding source directly at the same address.
Fees, Billing, and Refunds
Transactions Through Apple
EncoX purchases completed through the App Store are handled by Apple according to the transaction arrangements of the region concerned, including taking payment, billing and refund requests made through the platform. We process only the product and transaction status necessary to provide and verify the entitlements you have bought, and we do not need to obtain your bank card number or your account password; refunds and the remedies the law gives you are not restricted by this clause.
No-Refund Policy
Completed purchases are not refundable, except where Apple approves a refund under its refund policy or applicable law provides otherwise - for example, a mistaken purchase or dissatisfaction with the content of the Service. A refund does not happen automatically: you need to request it from Apple. This clause does not limit your rights of withdrawal, refund or other remedy that you enjoy under law, or any other consumer right that cannot be waived by contract.
Immediate delivery and your right of withdrawal: the EncoX digital content or one-time purchase entitlement you buy may, as the purchase flow provides, begin to be delivered as soon as the transaction is confirmed and the necessary verification is complete, instead of waiting for the withdrawal period to expire. Consumers in the European Union and in the United Kingdom have, in principle, the fourteen (14)-day right of withdrawal that applicable law gives them; the exception to that right applies only where the conditions applicable law requires beforehand are met, namely your express prior consent, your acknowledgement that you may lose the right of withdrawal, the start of performance and the necessary confirmation. Whether those conditions are met is judged by the law of the place where you are and by the consent and confirmations actually formed at the time of the transaction, and the full text of this page together with the transaction receipt provided by Apple is the written disclosure we give you. Your statutory quality guarantees, your remedies for defects and your other rights that cannot be waived are unaffected, and this does not affect refunds that Apple approves under its own rules.
Price and Future Changes
The EncoX Opus entitlement is a one-time purchase: the price is paid in one payment and no recurring charge is made. We may adjust the price of purchases made from now on; the entitlement already granted for a completed purchase is not reduced by a later price adjustment. Whether the entitlement stays available still depends on a compatible device, on system conditions, on force majeure, and on the duty to continue providing the service under applicable law.
Product and License Type
The EncoX Opus entitlement is provided as a one-time purchase that you buy outright: once the price is paid in full it stays in effect and does not expire with the passage of time. Purchases, and the restoration of purchases, are validated by Apple against your App Store transaction records, and this app may keep on the device the entitlement status it needs in order to provide the feature; later downloads, running the app and compatibility still depend on the device, on the system version and on the availability of the App Store. Remedies as to the quality of digital content and the updating of the Service are carried out under applicable law, and the entitlements and the price are those shown on the App Store product page.
Termination of the Service: if EncoX decides to stop providing the Service, or to stop supporting older versions of iOS, we will publish it in a visible location while this app is still available, and you may also ask us at any time through support@encox.app. We cannot deliver a notice to each person individually; please rely on what you actually receive in the app or in our email correspondence. Because we do not process any payment, purchases completed before termination and refund requests are handled by Apple under its applicable procedures.
As to your statutory right of withdrawal in your jurisdiction: where digital content or a service falls within a statutory exception to the right of withdrawal, that exception applies only when the conditions required by applicable law are satisfied; where those conditions are not satisfied, your statutory right of withdrawal is unaffected. This clause does not exclude any statutory right that cannot be excluded by contract.
Free Allowance and Conversion Count
The free version allows you five successful conversions in total, and Opus membership is unlimited as to the number of conversions. Apart from this one difference, the free version and Opus membership are functionally identical: the same preference for the device’s built-in hardware encoder, the same switch to the on-device software encoder when that channel is unavailable, and the same scope of container, audio-track and subtitle handling. Image-based subtitles (for example, Blu-ray PGS) are not a subtitle format that the output can hold directly: this app attempts on-device recognition of the text visible in the picture and re-outputs the recognized content as a text subtitle track; this is a best-effort recognition — if that track cannot be opened, recognition fails, or the write fails, the whole track is skipped, the output then does not contain that subtitle, and the recognized text may not match the original track exactly.
How the allowance is counted
One conversion counts once, and only when it completes successfully: an attempt that fails or that you cancel does not count; a file that can already be played directly is not a conversion at all - the app generates no second file for it and nothing is counted; starting a retry does not itself count again, but the attempt that completes successfully after the retry is counted. Conversely, deleting an output that has already been generated does not give the allowance back - the allowance measures how many times you have used conversion capacity in total, not how many files you are currently keeping.
Where the allowance is kept, and its limits
The allowance is kept in your Keychain as a single integer, and Apple syncs it between your devices that are signed in to the same Apple ID, so that one free allowance is shared across your devices and reinstalling the app does not reset it. Please also understand its boundaries: where iCloud Keychain is not enabled, or where synchronization is temporarily unavailable, the count on different devices may differ; and erasing a single device does not guarantee that this count starts over: if that device later signs back in to the same Apple Account and enables Keychain synchronization, Apple may sync the existing record back to it. EncoX reads and updates this count locally on your device, which is the precondition for the allowance being enforced at all; but we cannot look up your conversion count either, so stricter cross-device verification is not possible. Your Opus membership itself follows your Apple ID, and after you change devices it takes effect again once you restore the purchase through the App Store.
This Service provides no entry point for family sharing: the Opus membership entitlement, once validated against Apple’s App Store transaction records and the result of restoring purchases, is for your own use on the devices signed in with the same Apple Account; whether the entitlement is provided with family sharing is decided by Apple’s applicable process, and this app does not separately grant or open that arrangement.
We will modify the number or measurement method of future free-tier conversions only for reasonable reasons such as legal or regulatory requirements, security, technical compatibility, abuse prevention, or sustainable operation of the Service, and will publish it before it takes effect on the Terms page of our official website, and the Terms page inside the app will be updated in sync with subsequent versions. A change will not retroactively increase conversions already counted, nor reduce Opus membership benefits you have already obtained. Where applicable law requires notice on a durable medium, the ability to keep an unmodified version, or a right to terminate, we will comply with that law.
Rules for Using the Service and Content
Your use of the Service must comply with this Agreement and all applicable laws. You may use the Service only for lawful purposes such as personal media management and format conversion.
You agree that you will not:
Use the Service for any unlawful, fraudulent, malicious, or otherwise improper purpose, or in a manner contrary to public order or professional ethics
Except to the extent expressly permitted by applicable law or an open-source license supplied with the Software, attempting to crack, decompile, reverse engineer, or modify EncoX proprietary code, proprietary algorithms, or core functionality
Abusing, interfering with or damaging the normal operation of the Service (the Service is a local tool: this prohibition concerns harm to the software itself)
Export or exploit another party’s proprietary media content or trade secrets without authorization
Use any automated means (such as bots or crawlers) to interfere with the Service’s interface
Use the app’s conversion or playback results for professional broadcasting, medical, or other critical tasks that require guaranteed precision
If you materially breach this Agreement, we may, to the extent that the law allows, terminate the software license concerned and take proportionate measures with respect to future transactions, support or other services that we actually control. This clause does not extend to your device itself: the app you have installed and the files on your device are controlled by your device, and the rights and obligations each party has already acquired are handled under applicable law.
Without limiting the preceding provisions, if you breach this Agreement, EncoX may assert the corresponding rights within the limits of applicable law and of what this app is actually able to do. This clause does not change the control you have over your own device and over the entitlements you have purchased, and it does not extend to the distribution and update arrangements of the App Store.
The app does not request camera, location, or local network permissions, and it does not ask the system for authorization to read your photo library. When you choose a video, image, or avatar, the system picker is used and runs outside the app, so the app receives only the file you actively select and does not gain access to your photo library or camera as a result.
License and Warranties for User Content
You must ensure that you hold the rights, licenses or other lawful basis required by applicable law for the content you import or otherwise process in the Service, that is, the video files you hold yourself, including the audio tracks and subtitle tracks within them (collectively, User Content).
Waiver for Highly Confidential Content and High-Risk Environments
For footage that is bound by trade secret, by a non-disclosure agreement or by a special compliance requirement, you should confirm that the device you are using and your actual working environment meet your requirements for that use. EncoX relies mainly on the general device security the Apple platform provides; where a particularly sensitive use needs additional protection, the necessary measures have to be put in place under the contract concerned and the law. Liability for the disclosure or loss of material is determined by the actual cause, by what the parties agreed and by applicable law; liability that may not be excluded or limited under law is unaffected.
Responsibility for Physical Environment Security
Please take proper care of media materials on shared devices and in public places, and guard against shoulder surfing, loss of the device and unauthorized access. Losses of confidentiality or of data caused by such events are borne by each party according to the actual cause and applicable law; this clause does not limit the liability we may not exclude under law or the consumer rights that are mandatory for you under law.
Commercial Use Beyond Personal Scope
Standard license limits: the license granted by this EULA is an individual and prosumer license. If you use the Service in a commercial environment that must satisfy specific industry security audits or compliance certifications, you acknowledge that the Service may not meet that environment’s insurance or data security requirements.
EncoX provides general-purpose media processing for both personal and professional users, and it comes with no separately agreed industry security audit, special confidentiality certification or service level commitment. You should judge from your own working situation whether you need additional assurance, and take appropriate measures for the ways of using it for which you are responsible under law; the related losses are still determined by the “Disclaimers and Limitation of Liability” section of this Agreement and by applicable law, and nothing that applicable law cannot exclude or limit is affected.
Licence termination and breach: if you use the service beyond the scope of the proprietary licence that is legally valid under this agreement, that constitutes a material breach (Material Breach) of this agreement and EncoX may seek the remedies that applicable law allows. Whether that proprietary licence terminates, and when, is judged on the facts of the breach and under applicable law. The authorisation, termination and reinstatement of the open-source components are governed independently by each of those licences and are not disposed of by this sentence. Termination does not affect rights and obligations that already arose before it; the disclaimers and limitations of liability in this agreement continue to apply within the scope in which they are legally valid, and are at all times subject to this agreement’s “statutory liability exceptions” clause and to applicable law.
Third-Party Rights and Likeness Compliance
The app allows you to import image files containing people and to convert and play them locally on your device. For any use for which applicable law does require you to hold authorization - for example communicating the material to the public, using it as marketing material, or providing it to a third party - you represent and warrant that you have obtained the corresponding authorization for the collection, storage and use of those images and that you comply with applicable rights of publicity and privacy law; lawful uses such as private viewing within your personal and family scope are not restricted any further by this clause. It is strictly prohibited to use another person’s images processed through this app for any purpose beyond the scope of legitimate personal use. If a third party brings a claim against EncoX because an authorization that applicable law required you to obtain was not obtained, you bear only that part of EncoX’s actual and reasonable losses, costs and expenses which is attributable to you under law; the part caused by EncoX’s own conduct or by shared fault is not yours to bear.
EncoX claims no ownership or intellectual property rights in your User Content. Your content always belongs to you or your licensors.
No Aggregated Statistics or Algorithm Improvement
EncoX sets up no third-party behavioral tracking inside the app and sends no usage statistics, crash or diagnostic data off your device. We do not use your media content for model training, algorithm tuning or benchmark testing; the processing of support correspondence, purchases and profile data is as set out in the Privacy Policy.
Copyright and Intellectual Property Policy
EncoX provides media conversion and playback features on your device; you should confirm that you have the rights required by applicable law for the content you import, process and use. For the content that we actually supply, control or publish, you can submit a rights claim through the complaint channel in this Agreement; profiles that can be deleted inside this app are handled under the “Deleting Your Profile and Your Data” terms.
The Service reads and processes User Content locally on your device (including the video files you import and the audio tracks and subtitle tracks within them), and the source files remain in the locations you selected; we neither receive that content nor can we read it. The legality, accuracy and copyright status of any material you import or process through this app are for you to confirm on your own, and you bear the corresponding obligations; within the scope permitted by applicable law, we do not make any warranty as to that material, and liabilities that cannot be excluded or limited by law are unaffected. You should confirm that you have the right to use the files you import under applicable law, and should copy, convert and share them further only within what the law permits or an appropriate authorization allows; using this app does not mean that you have obtained a usage right that the owner of the original content has not granted. Certain jurisdictions permit private copying, fair use or other statutory exceptions without consent having to be obtained from the rights holder item by item, and this clause does not alter those statutory arrangements. This app provides no functionality for circumventing digital rights management or any other effective technological protection measure.
Infringement complaints about our own material
If you believe that material we actually control and distribute — the application itself, bundled assets, or promotional content — infringes your intellectual property, please send us a complaint at the address below:
Complaints email address: support@encox.app
Please provide enough information for us to locate the issue: the material you say is infringed, the right you claim and your contact details, together with a statement that you have a good-faith belief the use is not authorised by the rights holder, its agent, or the law. Once verified, we act in accordance with applicable law and within the processing rights we actually hold, including exact deletion of what we provide.
For media content that you keep yourself on a device or on a third-party platform, please put any deletion, takedown or rights request to the party that actually controls the storage and distribution channel concerned. For app material that we publish or actually control ourselves, you can complain through the email address stated in this Agreement, and we will handle it within our legal and actual authority; this does not limit the remedies that either party has under law.
Automated Analysis and Algorithmic Limitations
On-Device Processing
All conversion, subtitle processing and metadata reading in this Service is carried out locally on your device. Of these, container parsing, codec conversion and remuxing are deterministic media-processing steps; the step that turns image-based subtitles into text uses the recognition capability built into Apple’s system, is probabilistic in its output, and the text it recognizes may not match the original track exactly. None of these functions has autonomous awareness, and none of them decides anything on its own. Your media files are read and processed on the device in use, and EncoX does not send them to any third-party service provider in order to carry out that processing. The file locations you select, the device’s system backup, and the sharing features you choose to use yourself are each handled under the rules of Apple or of the service concerned.
Non-Deterministic and Probabilistic Risk
You acknowledge that the parsing of media containers and the results of conversion depend on the quality of the source file itself. EncoX does not guarantee that every non-standard container, damaged file, or unusual encoding can be successfully recognized or converted, nor that the converted result will look exactly like the source. When the source file is defective, conversion may fail or produce abnormal output.
Duty of Human Verification and Disclaimer for Use Decisions
Media conversion and recognition results are meant to assist your work; please check their quality and their fitness before you deliver, publish or archive anything for real. Loss arising from reliance on those results is determined by the actual responsibility of each party, by the “Disclaimers and Limitation of Liability” section of this Agreement and by applicable law; nothing that applicable law cannot exclude or limit is affected.
Not a Professional Substitute; Final Decision Authority
EncoX provides media conversion and playback assistance, and the recognition, conversion and metadata results may be affected by the original footage, by the format and by the condition of the device. Please check that the output meets what your work requires before you publish, edit or archive it for real. Liability to compensate for the related loss is determined by the “Disclaimers and Limitation of Liability” section of this Agreement and by applicable law; nothing that applicable law cannot exclude or limit is affected.
Data Security
Conversion, subtitle recognition and media analysis are performed on the device you are currently using, and the time they take and the results they produce depend on device performance, on the format of the source file and on the resources available; the file location you selected, the device’s system backup, and the sharing features you use on your own initiative are each handled under Apple’s rules or the rules of the service concerned.
Technical and Hardware Dependencies
Conversion and hardware encoding capabilities depend heavily on the codec frameworks provided by iOS and on your device’s hardware performance. As iOS is updated, the codecs available and their behavior may change. We do not guarantee that these features will perform on older devices or earlier versions of iOS in the same way as on the latest devices.
When video plays in the system video player, subtitle generation and translation are provided by Apple’s system: that capability is not part of this app’s offering, this app does not turn the system option on or off depending on whether you have purchased the Opus entitlement, and it does not perform the speech recognition or translation itself. The scope of availability (devices, system versions, system and region language settings, and whether the source carries subtitles that can be translated) is determined by Apple and follows the information Apple publishes at the time; this app makes no commitment on its behalf. How that system capability handles data is described in the “System-generated and system-translated subtitles” section of this app’s privacy policy.
Not Professional Advice; Tool Only
You acknowledge that the app processes media files only according to the parameters you set, and that this does not constitute a professional judgment as to image quality, color, artistic effect, or content compliance. You acknowledge that EncoX is a media processing tool, not a professional adviser, and therefore, to the extent that applicable law allows, EncoX assumes no liability arising from the processing parameters you choose; this clause does not affect the liability listed in the clause “Exceptions to Statutory Liability” that may not be excluded or limited (including your consumer rights that cannot be waived under law).
No Professional Assurance; High-Risk Waiver
EncoX’s output does not amount to a professional production opinion or a technical acceptance judgment. Device failure, abnormal data or mistaken operation can interrupt your work, damage files and create extra cost, so please keep the originals and a separate backup of any footage that matters. Liability arising from such events is determined by the actual cause, by the “Disclaimers and Limitation of Liability” section of this Agreement and by applicable law; nothing that applicable law cannot exclude or limit is affected.
Intellectual Property
The proprietary information and materials contained in the Service (including but not limited to designs, audio, code, interfaces, and trademarks) are owned by EncoX and protected by intellectual property laws. You may not copy, modify, distribute, sell, or otherwise exploit this content in any form without our prior written authorization.
Use and Ownership of Third-Party Names
When this app reads, displays and converts your files it mentions a number of format and vendor names that are common in the industry — for example the names of widely used containers and codecs (MKV, MP4, H.264, HEVC, VP9, AV1, AAC, AC-3, E-AC-3, DTS, TrueHD, FLAC, Opus), the names of subtitle formats (SRT, ASS, PGS), and Dolby Vision. These names are mentioned only to describe the content types that your own file carries and the systems with which this app can exchange data; this is nominative, descriptive use. The relevant names, logos and formats belong to their respective rights holders. EncoX has no licensing, sponsorship or endorsement relationship with any of them, this app does not claim to be approved by any of them, and it does not claim that any output has been certified by any of them or tested against any of their requirements.
Readout Sources and Compatibility Limits
The identification, reading and writing of formats by this app is orchestrated locally on your device by us, using open-source components distributed under their respective open-source licenses (see the “Open Source Components and Corresponding Source” page in this app and the open-source page on our official website). The parameter values shown in the interface come from fields that your own file carries: whatever the file states is what the interface reports. Where a name or a profile level is absent from the file, we do not write it in on the file’s behalf, and a field that cannot be read is simply not shown. The same format name does not mean every implementation is identical; how a produced file is recognized and played back in third-party software or on third-party devices depends on that software’s or device’s version, configuration and runtime environment, which is for that party to determine. This app does not promise continued compatibility with any specific third-party software or device, and does not promise how any file will play on all devices.
Trade Secrets and Confidentiality Agreements
When you use EncoX, media content is always processed on your device, and we neither receive that content nor can we read it; for this reason, the confidentiality arrangements for the Service are limited to the EncoX Privacy Policy: EncoX does not sign additional non-disclosure agreements (NDA) for particular projects and does not assume project-level confidentiality obligations beyond that Policy. Protecting unpublished content requires you yourself to take appropriate device and physical security measures; losses arising from a lost device, a third-party attack or another security incident are allocated between the parties under applicable law and actual cause.
Unsolicited Feedback
If you voluntarily submit suggestions, ideas, concepts, or other feedback about the Service (“Feedback”), you retain any rights you have in the Feedback and grant EncoX a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable, and transferable license to use, copy, modify, adapt, develop, distribute, and commercialise the Feedback in order to improve, operate, or promote EncoX. This license does not cover media content, personal information, or third-party materials that you did not submit as Feedback, and it does not require EncoX to use or respond to the Feedback or to compensate you. Rights that cannot lawfully be waived or transferred remain unaffected.
Apple’s Role and Third-Party Beneficiaries
Apple Has No Liability
We are responsible for the maintenance and support that this app is to provide under this Agreement and applicable law; Apple Inc. has no obligation whatsoever to furnish any maintenance and support services with respect to this app. To protect important files, you may, on your own initiative, use the backup or export methods provided by your device or by Apple to keep appropriate copies; this clause does not exclude the liability that we bear under law.
Third-Party Beneficiaries
You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your download of the Software from the App Store and your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce the portions of this Agreement that relate to it against you as a third-party beneficiary.
Disclaimers and Limitation of Liability
Exceptions to Statutory Liability
Nothing in this Agreement excludes or limits liability for death or personal injury caused by EncoX’s negligence, for fraud or fraudulent misrepresentation, for willful misconduct, for gross negligence to the extent that applicable law provides that the liability may not be limited, for product liability to the extent that it may not be limited by law, or for the statutory remedies for digital content or a service that you enjoy under applicable law and that cannot be waived by contract, including quality requirements, repair, replacement, price reduction and refunds; nor does anything in this Agreement exclude or limit any other liability that may not be excluded or limited under law. Any exclusion of liability, exclusion of a category of damages, or cap on the amount of damages takes effect only to the extent that applicable law permits it.
Disclaimer
Without affecting the warranties, the quality standards for digital content and the other mandatory consumer rights that applicable law confers on you and that cannot be excluded or limited by contract, the Service is provided on an “AS-IS” and “AS-AVAILABLE” basis, without warranty of any kind. We expressly disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free.
EncoX provides media conversion and playback assistance only, and you should verify the conversion results, the format identification and the metadata yourself before delivery for real. Conversion errors, changes in codec compatibility or abnormal file parsing can cause rework and business loss; liability to compensate for it is governed by the “Disclaimers and Limitation of Liability” section of this Agreement, but liability for direct loss that applicable law cannot exclude or limit, and your other mandatory rights under law, are unaffected.
Your Duty to Verify Manually
You expressly acknowledge and agree that the conversion and media recognition results produced by EncoX must be verified by you yourself. You undertake to confirm their integrity and correctness yourself before you use the processed results for a formal purpose, including but not limited to publishing, archiving or delivery to another party.
Data Integrity and Backup Responsibility
You acknowledge that EncoX is an app that runs locally on your device. Your media content and your business data are kept on this device: the source files remain in the location you selected (which may include iCloud Drive), and the app’s own storage area may have a copy retained by the device’s system backup under Apple’s mechanisms; what Apple syncs between your own devices is mainly the few kinds of record listed in the “Where Your Data Is Stored” section of this Agreement. Beyond that we keep no other copy, and we do not receive any of the above. We bear no duty to restore irreversible data loss caused by an iOS system update, by a failed migration of the local database, by damage to the device or by mistaken operation; this clause does not affect the liability listed in the “Exceptions to Statutory Liability” clause that may not be excluded or limited (including your consumer rights that cannot be waived under law). Please keep an independent backup of your original video files yourself.
Exclusion of Specific Losses
Using EncoX may involve the following technical risks: (i) material becoming unusable because conversion fails, the output is abnormal, or a file is recognized incorrectly; (ii) battery consumption, storage consumption or the device heating up because conversion occupies device resources; (iii) duplicated work because local records such as the conversion queue or playback progress are lost. The limits on liability in this Chapter are governed by the three clauses “Disclaimer”, “Exceptions to Statutory Liability” and “Limitation of Liability”, which are not restated here.
Limitation of Liability
To the extent that applicable law allows, neither we nor any affiliate for whom liability may be claimed under law because it took part in providing the Service is liable for indirect, incidental, special, consequential or punitive losses that the law allows to be excluded (including but not limited to loss of profits, loss of data, loss of goodwill or interruption of service), whether the loss rests on warranty, contract, tort (including negligence) or any other legal theory; the liability listed in the “Exceptions to Statutory Liability” section and any other liability that may not be excluded or limited under law is unaffected.
To the extent that applicable law permits the limitation of liability, and without affecting the liability listed in the “Exceptions to Statutory Liability” section or any other liability that may not be excluded or limited under law (including your consumer rights that cannot be waived under law), our aggregate monetary liability, and that of any affiliate for whom liability may be claimed under law because it took part in providing the EncoX Service, arising out of this Agreement or out of this Service, is capped at the greater of fifty dollars (50.00 USD) and the total amount you actually paid for the Service in the twelve (12) months before the event that gave rise to the claim. This cap applies equally to users who have paid nothing.
Safety of Use
Media conversion can raise the load on your device, its temperature and its power consumption, so please plan your use around the condition of the device. For injury or loss caused by distraction, mistaken operation or a device abnormality, each party bears liability according to the actual cause and applicable law; liability that may not be excluded or limited under law is unaffected.
Your Indemnification
To the extent that applicable law permits, where a third party brings a claim against EncoX and its affiliates, senior officers, directors, employees, agents, licensors and service providers (collectively, the Indemnified Parties) for the reasons set out below, you bear only that part which is attributable to you under law, namely the losses, costs and expenses (including reasonable attorneys’ fees) that the Indemnified Parties actually and reasonably incur as a result of the claim; the part caused by EncoX’s own conduct or by shared fault is not yours to bear:
(a) your use or misuse of the Service, including any content you submit, post, transmit, or otherwise make available through the Service;
(b) your breach of any term of this Agreement;
(c) your infringement of any third party’s rights, including but not limited to intellectual property rights, privacy rights, reputation rights, or other personal rights;
(d) your violation of any applicable law, regulation, or rule; and
(e) any willful misconduct or gross negligence on your part in using the Service.
This indemnification obligation survives termination of this Agreement. EncoX reserves the right to assume the exclusive defense and control, at its own expense, of any indemnified matter, and you agree to cooperate with EncoX in defending any claim.
Global Trade Compliance and Export Controls
Technology export controls: you acknowledge that the Service, its software components, and related technical data (collectively, the “Controlled Items”) are subject to the U.S. Export Administration Regulations (EAR), the sanctions regulations of the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), and the laws of your jurisdiction.
Sanctioned Regions and Blacklisted Entities
You represent and warrant that: (i) you do not access or use the Service to the extent that applicable export-control or economic-sanctions law prohibits it; and (ii) you do not supply the Service to individuals, entities, territories or end uses that are restricted under law. The relevant restrictions are those of the applicable law in force at the time and of the lists published by the competent authorities.
Prohibited Uses
You represent and warrant that you will not use the Service to develop, design, manufacture, or use nuclear weapons, chemical or biological weapons, missile technology, or mass surveillance systems. You further undertake that you will not, without a license from the U.S. Department of Commerce Bureau of Industry and Security (BIS), provide the Service to military end users in U.S.-embargoed countries, or use the encryption technology contained in the Service in a manner that violates local cybersecurity laws or to develop conventional weapons delivery vehicles or unauthorized surveillance technology.
Adjustment or Discontinuation Due to Legal Restrictions
If applicable law restricts our offering of updates, transactions or support to a particular region, party or end use, we will adjust the services we provide in future within the limits of our legal obligations and of what we can actually carry out. The app you have installed and the media on your device are controlled by your device, and entitlements you already hold and the remedies you need are handled under applicable law.
Governing Law and Dispute Resolution
Governing Law
This Agreement and the contractual rights and obligations under it are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict-of-law rules.
If you qualify as a consumer under applicable law, this choice of Ohio law does not deprive you of the protection afforded by the law that would otherwise apply in the absence of this choice, where that protection cannot be excluded or limited by contract. Where applicable law requires other mandatory provisions to apply to particular matters, those provisions apply to the extent required by that law.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
Dispute resolution
If a dispute arises out of or in connection with this Agreement or the Service, the parties may first attempt to resolve it in good faith through negotiation, using the contact email address set out in this Agreement.
If the dispute is not resolved through such consultation, or where either party is entitled under applicable law to bring a claim directly, either party may, in accordance with applicable law, bring the matter before a court of competent jurisdiction or another body lawfully empowered to decide it.
This Agreement does not designate any court as having exclusive jurisdiction and does not require disputes to be resolved through mandatory arbitration. If you qualify as a consumer under applicable law, this clause does not limit your rights of action, statutory remedies, or other procedural rights that cannot be excluded or waived by contract.
General Provisions
Changes to These Terms
We may update this Agreement because of legal or regulatory requirements, security, technical compatibility, changes to functionality, or the operational needs of the Service. An update takes effect only prospectively, and it does not retroactively reduce the entitlements you have already obtained or already paid for. For a change that may have a substantial adverse effect on your rights or on your use of the Service, the full updated text and its “update date” are shown on this page together with the app update, so that you are informed before it takes effect. Where applicable law requires a valid reason, notice on a durable medium, express consent, or a right to withdraw or to terminate, we act in accordance with that law. Only to the extent that applicable law permits, your continued use of the Service after a change takes effect may be treated as acceptance of the update.
This Agreement constitutes the entire agreement between you and EncoX with respect to your use of the Service and supersedes any prior agreement between you and EncoX on the same subject matter.
If any provision of this Agreement is held invalid, unlawful or unenforceable in a particular situation, that provision shall be ineffective only in that situation and only to the extent necessary. The remaining provisions continue in effect, except where applicable law requires the Agreement as a whole to cease to be effective.
No provision of this Agreement shall be construed as excluding or limiting any right under applicable law that cannot be excluded or limited by contract.
EncoX’s failure to enforce any right or provision of this Agreement does not constitute a waiver of that provision or of any other provision.
For delay or non-performance directly caused by an event beyond EncoX’s reasonable control that still cannot be avoided or overcome despite reasonable efforts (such as force majeure events, natural disasters, war, terrorist attacks, or cyberattacks), EncoX bears no corresponding liability for breach within the scope and for the period in which that event actually had an effect; liability that may not be excused under applicable law is not affected, and neither are your rights of termination and remedy under applicable law.
You agree to comply with all local, state/provincial, federal, and national laws, statutes, ordinances, and regulations applicable to your use of the Service.
No employee or agent of EncoX has the authority to modify this Agreement.
We may assign all of the rights and obligations under this Agreement to a successor as a result of a merger, an acquisition, a sale of assets or a business reorganization, without needing to obtain your further consent; the assignment does not reduce the rights you have already acquired and does not increase your obligations, and the assignee takes over our obligations under this Agreement in their entirety. We will publish the assignment before it takes effect on the Terms page of our official website, and the Terms page inside the app will be updated in sync with subsequent versions; where applicable law gives you a right to object or to terminate, we will act in accordance with it. You may not assign your rights or obligations under this Agreement without our prior written consent, except as otherwise provided by applicable law.
Special Provisions for International Users
Nothing in this Agreement excludes or limits the mandatory rights that you enjoy under the consumer law of your jurisdiction and that cannot be waived by contract. If a provision of this Agreement is found to be unenforceable in your jurisdiction, that provision does not apply in that jurisdiction, the matter is determined instead by the mandatory legal rules of that jurisdiction, and the remaining provisions of this Agreement continue in effect.
Export compliance: you agree to comply with all applicable export control laws of the United States, the European Union, and the United Kingdom, and not to use the Service in sanctioned regions.
